Agreement & Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client" or "you") and AMSIT Digital Solutions ("AMSIT," "we," "us," or "our"), a registered MSME company (UDYAM-MH-06-0123456) providing digital marketing services.

By engaging our services through:

  • Signing a service agreement or proposal
  • Making a payment for our services
  • Verbally agreeing to proceed with services
  • Using our website or requesting a quote

You acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

⚠️ If you do not agree to these terms, do not use our services or website.

🚨 Service Limitations

Services are provided as described in individual proposals or agreements. Any changes to scope require written approval and may involve additional charges. We reserve the right to modify or discontinue services with reasonable notice.

Your Responsibilities as Client

By engaging our services, you agree to:

Payment Obligations

  • Pay all fees as agreed in the proposal or service agreement
  • Make payments on time according to payment schedule
  • Pay late fees of 2% per month on overdue amounts
  • Cover any legal or collection costs if payment recovery is required

Content & Cooperation

  • Provide accurate business information and content
  • Supply necessary access to your digital accounts when required
  • Respond to our communications within 3 business days
  • Approve or provide feedback on deliverables within agreed timeframes
  • Ensure all provided content complies with applicable laws

Legal Compliance

  • Ensure your business has all necessary licenses and permits
  • Comply with all applicable advertising and business laws
  • Take responsibility for claims made about your products/services
  • Maintain appropriate insurance coverage for your business

⚠️ Failure to Meet Responsibilities

If you fail to meet these responsibilities, it may result in project delays, additional costs, service suspension, or termination of our agreement. We are not liable for poor results caused by client non-cooperation.

Payment Terms & Refund Policy

🚫 NO REFUND POLICY

All payments are final and non-refundable. This includes:

  • Setup fees, monthly retainers, and project payments
  • Work completed or partially completed services
  • Third-party costs (ads spend, tools, licenses)
  • Services cancelled by client for any reason
  • Dissatisfaction with results or campaign performance
  • Changes in business circumstances or budget

By engaging our services, you acknowledge that digital marketing results depend on many factors outside our control and agree to our no-refund policy.

Payment Schedule

  • • Setup fees: 100% in advance
  • • Monthly services: Payment due 1st of each month
  • • Project work: 50% upfront, 50% on completion
  • • Ad spend: 100% in advance or as agreed
  • • Late payments: 2% per month penalty

Accepted Payment Methods

  • • Bank transfer (preferred)
  • • UPI payments
  • • Cheque or DD
  • • Online payment gateways
  • • Cash (for local clients only)

Service Suspension

Services will be suspended immediately upon non-payment. Suspended campaigns, websites, or accounts may result in loss of performance, rankings, or data. We are not responsible for any negative impact caused by service suspension due to non-payment.

Performance & Results Disclaimer

Digital marketing results are not guaranteed. We cannot promise specific outcomes because:

  • Search engines and social media platforms frequently change their algorithms
  • Competition levels and market conditions vary constantly
  • Your industry, location, and business factors affect results
  • Customer behavior and seasonal trends impact performance
  • External economic factors influence business outcomes

We provide professional services using industry best practices, but results depend on factors beyond our control.

What We Promise

  • Professional service delivery according to industry standards
  • Regular reporting and communication about campaign performance
  • Use of ethical, white-hat marketing practices
  • Dedicated support and optimization of your campaigns
  • Transparent reporting of all activities and spending

What We Don't Guarantee

  • Specific ranking positions on search engines
  • Guaranteed number of leads, sales, or customers
  • Specific return on investment (ROI) percentages
  • Immunity from search engine algorithm changes
  • Results within specific timeframes
  • Competitive advantages over other businesses

Liability Limitations & Indemnification

🛡️ LIMITATION OF LIABILITY

AMSIT's total liability for any claim arising from our services is limited to the amount paid by you in the 30 days preceding the claim.

We are NOT liable for:

  • Lost profits, revenue, or business opportunities
  • Indirect, consequential, or punitive damages
  • Loss of data, rankings, or social media followers
  • Third-party actions (platform bans, algorithm changes)
  • Business disruption or competitive disadvantage
  • Actions or omissions of other service providers
  • Force majeure events beyond our control

🤝 CLIENT INDEMNIFICATION

You agree to indemnify and hold harmless AMSIT from any claims arising from:

  • Your business operations, products, or services
  • Content you provide for marketing campaigns
  • Your violation of applicable laws or regulations
  • Your breach of these terms of service
  • Third-party claims related to your business
  • Intellectual property infringement claims

Insurance Recommendation

We strongly recommend that you maintain appropriate business insurance, including professional liability and cyber security coverage, to protect your business interests.

Intellectual Property Rights

What You Own

  • • Your business name, logo, and trademarks
  • • Your existing content and materials
  • • Your customer data and business information
  • • Your website domain and hosting accounts
  • • Final deliverables after full payment

What We Own

  • • Our methodologies and processes
  • • Our proprietary tools and software
  • • Our templates and frameworks
  • • Our knowledge and expertise
  • • Our company branding and materials

Content Creation Rights

For content we create for you (graphics, copy, videos, etc.):

  • You receive usage rights after full payment
  • We retain the right to showcase work in our portfolio
  • We may reuse general concepts and approaches for other clients
  • You're responsible for ensuring content accuracy and compliance

⚠️ Content Usage Policy

You warrant that all content provided to us does not infringe on any third-party rights. You're responsible for obtaining necessary licenses for stock photos, music, or other copyrighted materials. We reserve the right to refuse working with content that may violate intellectual property laws.

Service Termination

By Client

  • • 30 days written notice required
  • • All outstanding payments must be settled
  • • No refunds for services already provided
  • • Access to accounts transferred after payment
  • • Final reports provided within 7 days

By AMSIT

  • • Immediate termination for non-payment
  • • Breach of terms or illegal activities
  • • Abusive or threatening behavior
  • • Unreasonable demands or scope creep
  • • 30 days notice for other reasons

⚠️ Post-Termination

After service termination:

  • All active campaigns will be paused or stopped
  • Access to shared accounts will be revoked
  • Monthly reports will cease
  • Support and maintenance will end
  • No liability for performance decline after termination

We recommend having transition plans in place before termination.

Dispute Resolution & Governing Law

Resolution Process

  1. Direct Communication: Contact us directly to discuss concerns
  2. Written Notice: Formal written complaint with specific details
  3. Good Faith Negotiation: 30 days to resolve through discussion
  4. Mediation: Third-party mediation if direct negotiation fails
  5. Arbitration: Binding arbitration as final resolution

Governing Law & Jurisdiction

These terms are governed by the laws of India, specifically:

  • Information Technology Act, 2000
  • Indian Contract Act, 1872
  • Consumer Protection Act, 2019
  • Competition Act, 2002

Jurisdiction: Pune courts have exclusive jurisdiction over any disputes.

⚖️ Legal Costs

In case of legal disputes, the prevailing party shall be entitled to recover reasonable attorney fees, court costs, and other expenses incurred in enforcing these terms.

Terms Modifications & Updates

Right to Modify

AMSIT reserves the right to modify these terms at any time to reflect changes in our services, legal requirements, or business practices. We will make reasonable efforts to notify existing clients of material changes.

Notification Process

  • Email notification to all active clients
  • Website update with revised terms
  • 30-day notice period for material changes
  • Continued service use constitutes acceptance

Version Control

Each version of these terms is dated and archived. The most current version governs your use of our services. Previous versions remain applicable to disputes arising during their effective period.
